These Terms & Conditions “Agreement” govern your use of GROW-UP Digital Marketing Agency’s services. By engaging with us, you (“Client”) agree to these legally binding terms.
1. Services & Deliverables
1.1 Services are detailed in individual Statements of Work (SOW)
1.2 All deliverables remain our property until full payment is received
2. Client Responsibilities
2.1 Provide accurate business information and materials within 5 business days when requested
2.2 Grant necessary platform access (Google Analytics, social accounts, etc.)
2.3 Obtain rights/licenses for all provided content
3. Fees & Payments
3.1 50% deposit required to commence work (non-refundable)
3.2 Balance due within 15 days of invoice date
3.3 Late payments incur 1.5% monthly interest
4. Intellectual Property
4.1 We retain rights to:
- Proprietary methodologies
- Pre-existing tools/templates
4.2 Client receives full rights to final deliverables upon payment completion
5. Confidentiality
5.1 Both parties agree to protect sensitive information
5.2 Exclusions:
- Publicly available information
- Independently developed materials
6. Termination
6.1 Either party may terminate with 30 days’ written notice
6.2 Early termination fees:
- 25% of remaining contract value (<3 months)
- 15% (3-6 months remaining)
7. Warranties & Liability
7.1 Services provided “as is” without warranties
7.2 Maximum liability = 3x monthly service fee
8. Dispute Resolution
8.1 Mediation required before litigation
8.2 Governing law: Punjab/Pakistan
9. Force Majeure
Not liable for delays caused by:
- Platform algorithm changes
- Acts of God
- Internet outages
